Notice to Vendors, Contractors, and Lenders:

Only specifically authorized employees of United Charitable Programs have power to commit UCP to any business transaction or contract. The programs at UCP do not have independent legal status. They are internal programs of UCP formed to carry out the many charitable, religious, and educational projects of UCP. The programs are not agents of UCP and have no power to bind it. The programs of UCP do not have officers, directors, or employees. Only UCP has officers, directors, and employees.

Accordingly, no program at UCP has the power or capacity to enter into any business transaction or contract. Only UCP, as a non-profit corporation, has such power which is exercised only by and through its specifically authorized employees.

Therefore, the only obligations which UCP recognizes as binding on it are those which result from the acts of its duly authorized employees. We are pleased to identify them upon request.

Please be advised that if you provide goods or services, advance credit, or make a loan to a program at UCP, you accept the risk that UCP will disavow any responsibility for either the invoice or loan.

Terminating a Program:

In the event that UCP has determined that a program should be terminated for any reason, or if a Program Manager has requested the account be closed, there are four options available to UCP, in its sole discretion, but with the advice of the Program Manager:

  • Disbursing the remaining assets on qualified charitable activities, such as outstanding invoices or consulting fees;
  • Transferring the remaining assets to public charities, including existing ones and ones that may be formed with the consent of UCP;
  • Transferring the remaining assets to UCP's general operating account; or
  • Transferring the assets to another program at UCP.
